Exclusivity Clause

Exclusive Service Provider: WMAProduction, herein referred to as “Service Provider,” shall enjoy exclusive status as the sole service crew provider retained by the Client for the specific event specified in the Agreement’s last row. The Client agrees not to engage any other service crew provider for the said event.

Photography and Videography by Family and Friends:

• The Client may permit family and friends to engage in photography or videography of the entire event solely for non-commercial purposes.
• Such individuals must not interfere with the duties of the assigned Video/Photographer provided by WMAProduction.

Interference with Service Crew:

• If, in the professional judgment of the assigned Video/Photographer, any individual or individuals engaged in photography or videography are obstructing or inhibiting the Service Crew from fulfilling their responsibilities, the Client shall be responsible for promptly addressing the situation.
• The Client shall instruct the person(s) interfering with the Service Crew’s duties to cease any further photography or videography.

Preservation of Service Quality:

• This exclusivity provision is intended to ensure the optimal quality of services provided by WMAProduction.
• It is crucial for maintaining the unobstructed execution of our responsibilities to create a seamless and memorable event.

Commercial Use Restrictions:

• Any photography or videography conducted by family and friends shall strictly be for personal use and enjoyment, and not for any commercial purposes.
• The Client shall be responsible for communicating these limitations to family and friends.

Non-Interference Commitment:

• The Client acknowledges the importance of non-interference with the Service Crew’s duties and pledges to ensure that all attendees are informed of this commitment.
• WMAProduction reserves the right to take appropriate action to uphold this exclusivity clause in the event of interference.

Collaboration for Success:

• The Client and Service Provider recognize that collaboration is essential for the seamless execution of the event.
• Open and respectful communication is encouraged to ensure the best possible outcome.

Compliance with Professional Judgment:

• The Client trusts the professional judgment of the assigned Video/Photographer to identify any interference with the Service Crew’s duties.
• Prompt action by the Client in response to such identification is expected.

Exclusivity Duration:

• The exclusivity period extends throughout the duration of the event as identified in the Agreement.

Legal Implications: – Violation of this exclusivity clause may result in disruptions to the event and may have legal implications. – The Client is urged to adhere to the terms herein to maintain the quality and integrity of the services provided by WMAProduction.

How WMAProduction Works for Service Crew Assignment and Substitution?

Assignment of Service Crew: WMAProduction maintains the prerogative to designate service crew members from our staff exclusively for the Client’s Event. These service crew members may include assistants to our WMA Video/Photographer, as deemed necessary to ensure the successful execution of the Event.

Assignment Changes and Substitutions: WMAProduction reserves the right to modify initial service crew assignments, including the potential substitution of staff members, under specific circumstances. These circumstances may include instances of staff illness or the requirement to extend coverage beyond the originally agreed-upon hours for the Event. Such modifications will always be made with the primary objective of upholding the quality and efficiency of our services throughout the Event.

Our commitment is to deliver a seamless and exceptional experience for your Event, and these measures are in place to accommodate unforeseen situations and maintain the highest standards of service delivery. How WMAProduction Works on Force Majeure and Unforeseen Circumstances?

WMAProduction recognizes that certain unforeseen events and circumstances may impact our ability to fulfill our obligations under this Agreement. We aim to address these situations professionally and transparently. Please review the following provisions:

Force Majeure Events: WMAProduction shall not be held liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to war, insurrection, strikes, walk-outs, riots, fire, adverse weather conditions, earthquakes, laws or governmental restrictions conflicting with the terms of this Agreement, or any other matter beyond our control.

Illness or Unavailability of WMA Service Crew: In the unlikely event of an unanticipated illness or unavailability of a member of the WMA Service Crew, WMAProduction is committed to minimizing any disruptions to your event. We will make diligent efforts to substitute the unavailable professional with a competent and qualified replacement. If, however, a suitable replacement cannot be secured in time for your event, WMAProduction will promptly refund all fees paid by the Client.

Additionally, WMAProduction will cover 50% of the total cost incurred by the Client for any substitute-related service engagement. Following this resolution, the Client shall have no further financial obligations under this Agreement.

Outdoor Shoots and Inclement Weather: WMAProduction reserves the right to exercise discretion when faced with adverse weather conditions during outdoor shoots. If inclement weather poses a potential risk to the safety or quality of the production, we may decline to proceed with the outdoor shoot.

In such cases, it is the responsibility of the Client to provide an alternate nearby location that can accommodate the requirements of the shoot. WMAProduction is committed to delivering the best possible results and will work collaboratively with the Client to ensure a successful outcome, even in the face of unpredictable weather.

These provisions are designed to ensure that both parties are adequately protected in the event of unexpected challenges or circumstances that may affect the execution of our services. We are dedicated to maintaining professionalism and transparency throughout our engagement, prioritizing the success and satisfaction of our valued clients.

Reservation Deposit: Upon the signing of this Agreement, a reservation deposit is required. The amount of this deposit, along with the applicable payment terms, will be specified in the Agreement. The deposit serves as a commitment to secure our services for your event.

Reservation of Time and Date: Upon receipt of the signed Agreement and the reservation deposit, WMAProduction will reserve the specific time and date agreed upon for your event. We understand the importance of this commitment and, as a result, will not accept any conflicting reservations for the same date and time.

Non-Refundable Nature of Reservation Fees: It is imperative to note that all reservation fees collected by WMAProduction are non-refundable. This non-refundable nature is a fundamental aspect of our policy and is essential for ensuring the exclusivity and availability of our services for your event.

Rationale for Non-Refundability: The non-refundable nature of reservation fees is based on several considerations:

1. Resource Allocation: Upon reservation, we allocate significant resources, including staff, equipment, and time, exclusively for your event. This allocation prevents us from accepting other conflicting bookings, making the reservation deposit critical to our operational planning.
2. Commitment and Availability: Non-refundable deposits signify your commitment to engaging our services, thereby ensuring that we are fully prepared and available to meet your event’s unique requirements.
3. Fairness to Other Clients: Our commitment to maintaining a fair and equitable booking system means that once your reservation is secured, we will not entertain other inquiries for the same date and time. This fairness extends to all our clients.

Cancellation Policy: In the event that you need to cancel your reservation, please refer to our separate Cancellation and Refund Policy for details on the procedures and any potential implications related to cancellations.

How WMAProduction Works on Payment Schedule?

The payment terms for services rendered by WMAProduction are structured as follows:

1. Initial Payment (Deposit): Clients are required to make an initial payment equivalent to 50% of the total service cost upon engagement.
2. Final Payment: The remaining 50% of the service cost, constituting the final payment, is due immediately after the event.

Accepted Payment Methods: Clients have the flexibility to choose from various payment methods, including:

• Cash
• Cheque
• Bank Transfer
• Credit Card
• PayNow
• PayLah

Payment Deadline: Final payments are to be settled promptly on the day of the event or no later than the following day.

Payment Failure: In the event that a cheque issued by the client fails to clear the account against which it is drawn or if the payment terms for the coverage or final payment are not met as previously agreed upon, the client acknowledges and agrees that WMAProduction shall not be held liable for any delay in delivering the contracted products or services.

How WMAProduction Works on Changes in Event Date, Time, or Package Selection

Upgrade of Package Selection: The Client retains the option to upgrade their selected package at any point leading up to the day of the event. It is important to note, however, that no provisions exist for downgrading to a lower-priced package once the initial selection has been made.

Change in Event Date or Time: In the event of a requested change to the scheduled date or time of the Event, WMAProduction is committed to making reasonable accommodations to accommodate these adjustments. Nevertheless, it is vital to acknowledge that such changes must align with WMAProduction’s existing schedule. In the event that the new proposed date or time presents a conflict with prior commitments made by WMAProduction, we reserve the right to terminate the existing Agreement.

Termination of Agreement: Should a termination of the Agreement occur due to schedule conflicts, the Client acknowledges that any non-refundable deposit made previously shall be forfeited. This policy is in place to ensure fairness and adherence to our scheduling commitments, which are essential for providing high-quality event production services.

How WMAProduction Works on Final Production & Revisions?

Production Timeline:

• Upon receipt of the final payment, WMAProduction initiates the comprehensive editing process. The time required for completion typically ranges from 3 to 8 weeks, ensuring a meticulous and high-quality final product.

Amendment Allowance:

• To maintain clarity and satisfaction, WMAProduction extends the courtesy of one amendment request to the client upon receiving the final production. This amendment allows clients to provide feedback and request necessary adjustments to ensure their vision is realized.

Express Production Option:

• For clients seeking expedited delivery, WMAProduction offers an express production service that guarantees final product delivery within 48 hours. To utilize this option, a fee of $200 is applicable.

Peak Period Consideration:

• It’s important to note that during peak periods or high-demand seasons, WMAProduction reserves the right to assess the feasibility of accommodating express production requests. While we strive to meet client needs promptly, exceptional circumstances may necessitate adjustments to the delivery timeframe.

How WMAProduction Works on Publicity Rights and Use of Work?

Usage of Client’s Event Work

The parties involved herein mutually consent to WMAProduction’s utilization of the content derived from the Client’s event for a variety of non-commercial social marketing purposes. This includes, but is not limited to, the creation of promotional videos intended for exhibition to prospective clients of WMAProduction.

Restrictions on Commercial Use

The Client acknowledges and agrees that commercial exploitation of the work by any party, whether the Client, their acquaintances, or relatives, shall require explicit written authorization from WMAProduction. Furthermore, any such commercial use necessitates the provision of fair compensation to WMAProduction prior to the event where such utilization occurs.

This policy safeguards both parties’ interests and ensures that the work is treated with the utmost respect, while also allowing WMAProduction to exhibit its capabilities to potential clients through non-commercial marketing efforts.

How WMAProduction Works on Disclaimer of Guarantee?

While WMAProduction diligently endeavors to capture all significant and special moments throughout the Event, it is imperative to note that we are unable to offer an unequivocal guarantee regarding the outcome. WMAProduction disclaims any liability for compromised work arising from various factors beyond our control.

We specifically disclaim responsibility for the following:

1. Guest Interference: WMAProduction cannot be held accountable for work affected by guest (or any other individual) flash photography or any other form of guest interference during the Event. Such unintended interruptions may result in less than optimal photography or videography outcomes.
2. External Factors: WMAProduction shall not be held liable for any compromised work arising from circumstances beyond the control of our Service Crew, whether occurring within or outside the purview of our services. This includes, but is not limited to, adverse weather conditions, venue restrictions, equipment malfunctions, or unforeseeable incidents.

Please be aware that while we are committed to delivering exceptional results, certain unforeseeable circumstances may affect the final product. Our team will make every reasonable effort to adapt and overcome challenges as they arise, but we request understanding and flexibility from our clients in such situations.

Exclusive Service Provision Agreement

This Agreement, henceforth referred to as the “Exclusive Service Provision Agreement,” outlines the terms and conditions governing the engagement of WMAProduction as the exclusive official Service Crew for the event by the Client. By entering into this Agreement, the Client acknowledges and consents to the following provisions:

Exclusive Editorial and Production Control: WMAProduction is granted full editorial, production, and content control over all aspects of the production associated with the event. The Client entrusts WMAProduction with the creative authority to capture and document the event in accordance with their expertise and vision.

Uninterrupted Ceremony: It is essential to note that the WMA Service Crew is prohibited from interrupting or interfering with the ceremony in any way to correct less-than-satisfactory shooting conditions. Therefore, the Client assumes responsibility for ensuring that the arrangement of the bridal party, officiate(s), and altar decorations does not obstruct or hinder the view of the central focus of the event, such as the Bride and Groom. Any adjustments required to maintain an unobstructed view are the sole responsibility of the Client.

Mitigating Obstacles: WMA Service Crew will make reasonable efforts to obtain optimal angles for documenting the event, even in the presence of potential obstructions or restrictions. However, it is important to understand that WMA Production cannot be held accountable for any exposures missed or omitted due to obstacles encountered during the documentation process.

Client Acknowledgment: The Client is required to fully comprehend and accept the policies outlined in this Agreement before engaging the services of WMAProduction. By engaging our services, the Client acknowledges that they have read, understood, and agreed to the terms and conditions set forth herein.

The purpose of this Exclusive Service Provision Agreement is to establish a clear understanding of the roles and responsibilities between WMAProduction and the Client, ensuring a smooth and professional collaboration throughout the event.
